Ineos Group, Ineos Quattro - comment

INEOS Energy Finance has priced $700m of five-year senior notes at par with a 9.125% coupon. Proceeds will refinance the existing $468.8m Term Loan A, fund a $100m shareholder distribution and leave the remaining balance on the balance sheet after transaction fees.
This will have limited impact on Ineos Group and Ineos Quattro bond prices, although it does bring further clarity to the Ineos Energy segment.

LTM June-26 Normalised EBITDA was $1.019bn, with adjusted net debt of $478m, equivalent to just 0.5x adjusted net leverage. However, this excludes $1.5bn of related-party borrowings. Total interest-bearing debt stood at $2.324bn, equivalent to 2.3x gross leverage and 1.9x net of cash.
The headline adjusted leverage therefore understates the broader debt burden. While reported leverage appears conservative, the capital structure remains heavily indebted once related-party borrowings are included, and the $100m distribution prioritises shareholder returns over deleveraging. At 9.125%, investors are being paid for exposure to the upstream oil and gas business, with the key credit considerations being free cash flow after exploration and development capex, the terms and ranking of related-party debt, and the conversion of EBITDA into cash.
