VMO2 - comment

BT has acquired TalkTalk and PlatformX (PXC) out of administration on a debt-free basis, with a c.£400m FY27 cash impact. TalkTalk generated c.£1.2bn of revenue over the last 12 months and has c.1.5m retail and 1m wholesale customers. The transaction removes an independent player from the UK broadband market and gives BT control of both the TalkTalk consumer base and PXC wholesale business. BT will initially operate TalkTalk separately pending regulatory review.

For VMO2, the more relevant issue is the precedent this creates for consolidation in the UK fixed broadband market. The TalkTalk transaction is likely to increase scrutiny of the proposed Nexfibre/Netomnia transaction, although the two deals have different competitive dynamics given Nexfibre is a wholesale-only network and the transaction would combine two alternative fibre networks rather than remove a retail competitor. We continue to see the Netomnia transaction as strategically positive for VMO2, with the key question being the extent of any remedies required by the CMA rather than whether the transaction is ultimately permitted.
