AroundTown, Grand City Properties - comment
GCP’s acquisition of a 20.04% stake in LEG significantly increases its exposure to German residential real estate, with management highlighting an FFO I yield above 13% and expecting around 30% pro-rata FFO I accretion. Aroundtown expects approximately 15% accretion at group level. GCP says it will fund the investment from its strong balance sheet, retaining sufficient liquidity and keeping LTV comfortably below its 45% guidance. Management expects the transaction to remain within its financial policy and credit-rating metrics, but bondholders will want to see the actual cash outlay and its impact on liquidity and leverage.
The stake is worth more than €700m at market prices, against approximately €1.8bn of attributable book equity at June 2026. GCP has not disclosed the purchase price, leaving open the possibility of a substantial accounting gain if it acquired the shares at a sufficient discount to book value. LEG owns around 171,000 apartments, with approximately 80% concentrated in North Rhine-Westphalia and further exposure across western and northern Germany. The portfolio is overwhelmingly residential, with limited commercial exposure. The acquisition gives GCP greater scale in a market where it already has an established presence, while extending its footprint beyond its existing portfolio.
GCP can increase its stake to 29.9%, although management has not committed to further purchases and retains the option to reduce or sell its holding. Moving towards control of the listed company would likely require a formal takeover offer and a much larger capital commitment. For bondholders, the immediate focus is on the price paid, the resulting cash outflow and the effect on GCP’s liquidity and leverage. Any further investment would need to demonstrate that it creates value without weakening the balance sheet or constraining financial flexibility.
